Terms of Use

1. Acceptance

By creating an account or using GrapphenMail ("the Service") you agree to be bound by these Terms of Use and our Privacy Policy. If you do not agree, do not use the Service. These Terms apply to all users including individuals, teams, and organisations.

2. Description of Service

GrapphenMail provides cloud-based business email hosting including custom domain email, collaborative mailboxes, AI-powered inbox tools, calendar and contact sync (CalDAV/CardDAV), deliverability tools, and a REST/GraphQL API. The Service is accessed at workspace.grapphen.com.

3. Account Registration

• You must provide accurate and complete information when registering.
• You are responsible for all activity that occurs under your account.
• You must be at least 18 years old or have the legal capacity to enter a contract.
• You must notify us immediately of any unauthorised use of your account.
• One organisation account per company. Multiple user accounts within an organisation are permitted.

4. Acceptable Use

You agree not to use the Service to:

• Send spam, unsolicited bulk email, or messages that violate CAN-SPAM, CASL, or GDPR.
• Transmit malware, phishing content, or any material designed to harm recipients.
• Violate any applicable law or regulation.
• Attempt to gain unauthorised access to our systems or other users' accounts.
• Reverse-engineer, decompile, or attempt to derive source code from the Service.
• Resell or sublicense the Service without our written approval (see Reseller Programme).

We reserve the right to suspend or terminate accounts that violate these terms without notice.

5. Plans, Billing & Payments

• Plans are billed monthly or annually in advance. Prices are listed on our Pricing page and may change with 30 days notice.
• Payments are processed by Stripe. By providing payment details you authorise us to charge you on the agreed billing cycle.
• Free plans have usage limits as described on the Pricing page.
• All fees are non-refundable except where required by law or where stated in our refund policy.
• Overdue accounts may be suspended until payment is settled.

6. Data Ownership

You retain full ownership of all email data, contacts, and files stored in your account. We do not claim any rights to your data. We process your data only to deliver the Service as described in our Privacy Policy.

7. Service Level & Uptime

We target 99.9% monthly uptime for paid plans. Scheduled maintenance will be communicated in advance. Enterprise plans include a formal SLA with credits for downtime. Free plan users do not receive an SLA commitment.

8. Termination

You may cancel your account at any time from the billing dashboard. We may terminate your account for breach of these Terms, non-payment, or inactivity (Free plan: 90 days). Upon termination, your data will be deleted within 30 days. We recommend exporting your data before cancelling.

9. Disclaimer of Warranties

The Service is provided "as is" and "as available" without warranties of any kind, express or implied, including but not limited to merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that the Service will be error-free or uninterrupted.

10. Limitation of Liability

To the maximum extent permitted by law, Grapphen's total liability for any claim arising from these Terms or use of the Service shall not exceed the amount you paid us in the 12 months preceding the claim. We are not liable for indirect, incidental, consequential, or punitive damages.

11. Governing Law

These Terms are governed by and construed in accordance with applicable law. Any disputes shall be resolved through binding arbitration or in courts of competent jurisdiction.

12. Changes to These Terms

We may update these Terms. Material changes will be communicated by email 30 days in advance. Continued use of the Service after that date constitutes acceptance of the updated Terms.
